The terms that govern your use of the Local platform.

1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the Local platform, including our website, mobile applications, and QR-based interfaces (collectively, the "Platform"). The Platform is operated by the relevant Local affiliate in your jurisdiction (referred to herein as "Local," the "Company," "we," "us," or "our").

By accessing or using the Platform, including scanning a QR code at a venue, browsing a menu, placing an order, or completing a transaction — you ("User" or "you") agree to be bound by these Terms. These Terms constitute a binding legal agreement between you and the relevant Local affiliate. If you do not agree with any part of these Terms, you must not use the Platform.

These Terms apply to all users of the Platform, regardless of how you access it. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms are governed by the laws of the jurisdiction in which the relevant Local affiliate is incorporated. In the event of any conflict between these Terms and applicable local consumer protection laws, the provisions most favourable to the consumer shall prevail.

2. About Local

Local operates a digital marketplace where consumers can discover, browse, and order from hospitality and service venues, including restaurants, hotels, cafés, and healthcare providers ("Merchant Partners"). Our Platform enables consumers to explore available venues by location and cuisine, access digital menus, compare options across multiple Merchant Partners, place orders, customise items, split bills, leave tips, and complete transactions — all through a seamless digital experience accessible via our website, mobile applications, and QR-based interfaces at Merchant Partner venues.

Local is the merchant of record for all transactions processed through the Platform. Our Merchant Partners are independent businesses that fulfil orders placed through Local. Local does not own, operate, or manage any Merchant Partner venue.

3. Eligibility

You must be legally capable of entering into contracts to use the Platform. In most jurisdictions, this means you must be at least 18 years old or have reached the age of legal majority. By using the Platform, you represent and warrant that you meet this eligibility requirement.

The Platform is intended for personal, non-commercial use. You agree not to use the Platform for any purpose other than ordering from or transacting with Merchant Partners as a consumer.

4. Account Registration

Certain features of the Platform may require you to create an account. When registering, you agree to provide accurate, current, and complete information and to keep your account details up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify Local immediately if you become aware of any unauthorised use of your account. Local is not liable for any loss arising from unauthorised access to your account where such access was not caused by Local's negligence.

5. How the Platform Works

The Platform offers two primary ways to interact with Merchant Partners:

Discover and Explore. Through Local's explore feature (available at uselocal.co/explore and within our mobile applications), you can browse Merchant Partners by location, cuisine, and venue type. You can view menus, compare options across multiple venues, and select a Merchant Partner before visiting in person. When you are ready to place an order or complete a transaction, the Platform will direct you to visit the Merchant Partner venue, where you can complete your order and payment through Local's in-venue QR interface.

In-Venue Ordering and Payment. When you scan a QR code or access the Platform at a Merchant Partner venue, you may browse the venue's menu, discover other available Merchant Partners in the same location (such as multiple outlets within a hotel or food court), place orders, customise items, and complete payment.

All orders placed through the Platform are fulfilled by the relevant Merchant Partner. Local facilitates the ordering and payment experience but does not prepare, cook, or deliver any food, beverage, or service. The Merchant Partner is solely responsible for the quality, preparation, safety, and fulfilment of the order.

Prices displayed on the Platform are set by the Merchant Partner and may differ from prices offered by the same venue through other channels (such as in-venue printed menus or other platforms). All prices are displayed in the applicable local currency and are inclusive of any applicable taxes unless otherwise stated. Any additional charges, including service charges, platform fees, or tips, will be clearly disclosed to you before you confirm your transaction.

6. Orders and Transactions

When you place an order and complete payment through the Platform, you are transacting with Local. Local processes your payment and coordinates order fulfilment with the relevant Merchant Partner.

An order is considered confirmed once you receive an on-screen confirmation through the Platform. Once confirmed, the order will be communicated to the Merchant Partner for preparation and fulfilment.

Local reserves the right to refuse or cancel any order where we reasonably suspect fraudulent activity, where the Merchant Partner is unable to fulfil the order, or where the order violates these Terms.

7. Pricing and Payment

All payments made through the Platform are processed securely through licensed and regulated payment service providers. Local accepts payment methods as displayed at checkout, which may include credit cards, debit cards, and digital wallets (such as Apple Pay, Google Pay, and Samsung Pay). Available payment methods may vary by jurisdiction and venue.

You agree that the total amount displayed at checkout, including the order total, any applicable taxes, service charges, Customer Service Fee, and any tip you choose to add, is the amount you authorise to be charged to your selected payment method.

Local does not store your full payment card details. All payment data is handled in accordance with applicable payment card industry security standards and transmitted using industry-standard encryption technology.

Local shall not be liable for payments made at a Merchant Partner venue using fraudulent payment methods, nor for any loss arising from transactions that are incorrect as a result of inaccurate data entry by the User during the use of the Platform.

8. Customer Service Fee

Local charges a Customer Service Fee for the provision of digital platform services, including QR-based menu access, digital ordering, digital checkout, bill-splitting, and digital receipts.

The Customer Service Fee is non-refundable once a transaction has been completed, except where a full refund is issued in accordance with our Refund and Cancellation Policy, or where required by applicable law.

If you prefer not to use Local's digital ordering and checkout service, you may request to pay by alternative means by speaking directly with venue staff before initiating payment through the Platform.

9. Tips and Gratuities

The Platform may allow you to add a voluntary tip or gratuity at checkout. Tips are entirely optional and are passed in full to the venue staff at the relevant Merchant Partner. Local does not retain any portion of tips.

Tips are non-refundable once a transaction has been completed, unless the underlying transaction is itself refunded in full in accordance with our Refund and Cancellation Policy.

10. Refunds, Cancellations, and Chargebacks

All refunds and cancellations are governed by our Refund and Cancellation Policy, which is available at uselocal.co/refund-policy and is incorporated into these Terms by reference.

Local is responsible for managing all refund requests, cancellations, and payment disputes arising from transactions processed through the Platform. If you experience an issue with an order, please contact Local directly using the channels specified in our Refund and Cancellation Policy.

We encourage you to contact Local before initiating a chargeback or payment dispute with your bank or card issuer. In most cases, we can resolve the matter more quickly than the formal dispute process.

11. Merchant Partners

Merchant Partners are independent businesses listed on the Platform. Local does not own, operate, manage, or control any Merchant Partner. Each Merchant Partner is solely responsible for the quality, safety, and accuracy of the food, beverages, and services it provides.

Local does not guarantee the accuracy of menus, pricing, photographs, descriptions, allergen information, or any other content provided by Merchant Partners on the Platform. While we take reasonable steps to ensure the information displayed is current and accurate, Merchant Partners are responsible for maintaining and updating their own content.

The availability of Merchant Partners on the Platform may vary based on location, operating hours, and other factors. Local does not guarantee that any particular Merchant Partner will be available at any given time.

12. User Conduct

You agree to use the Platform only for its intended purpose and in compliance with all applicable laws. You agree not to:

Use the Platform for any unlawful, fraudulent, or harmful purpose. Attempt to gain unauthorised access to the Platform, its servers, or any related systems. Interfere with or disrupt the operation of the Platform or any other user's experience. Submit false, misleading, or inaccurate information, including false refund claims. Use the Platform to harass, abuse, or harm Merchant Partner staff or other users. Reproduce, distribute, modify, or create derivative works from any content on the Platform without Local's prior written consent. Use automated scripts, bots, or other tools to access or interact with the Platform.

Local reserves the right to suspend or terminate your account and access to the Platform if you violate these Terms or engage in conduct that we reasonably consider harmful to the Platform, our Merchant Partners, or other users.

13. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design and layout of the Platform, is the property of Local or its licensors and is protected by applicable intellectual property laws.

"Local" and all related names, logos, and trademarks are the property of the relevant Local affiliate. You may not use any Local trademarks without our prior written consent.

Menu content, photographs, and descriptions provided by Merchant Partners remain the intellectual property of the respective Merchant Partner or their licensors.

14. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, available at uselocal.co/privacy, which describes how we collect, use, store, and protect your personal data.

Local processes personal data in accordance with applicable data protection laws in the jurisdictions in which we operate. By using the Platform, you consent to the collection and processing of your personal data as described in our Privacy Policy.

We do not sell your personal data to third parties. We may share data with Merchant Partners and payment service providers to the extent necessary to fulfil your orders and process your transactions.

Local operates across multiple jurisdictions. Your personal data may be transferred to, stored in, or processed in a country other than your country of residence, including by Local affiliates, service providers, or payment partners located outside your jurisdiction. By using the Platform, you consent to such cross-border transfers in accordance with our Privacy Policy and applicable data protection laws.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

Local's total liability to you for any claim arising from or relating to your use of the Platform shall not exceed the total amount you paid to Local through the Platform in the 12 months preceding the claim.

Local shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.

Local shall not be liable for any loss or damage arising from the acts, omissions, products, or services of any Merchant Partner, including but not limited to food quality, food safety, allergic reactions, service standards, or venue conditions.

Local shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, telecommunications failures, or third-party service outages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, death, or personal injury caused by negligence.

16. Indemnification

You agree to indemnify, defend, and hold harmless Local, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

17. Third-Party Services

The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by Local. Local is not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

18. Force Majeure

Local shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, epidemics or pandemics, government actions or restrictions, power failures, internet or telecommunications outages, or failures of third-party service providers.

19. Communications

Local may contact you through various communication channels, including phone calls, SMS, WhatsApp, email, in-app messaging, push notifications, or other electronic means, for purposes related to your orders, transactions, account activity, service updates, promotional offers, or feedback collection.

Telephone calls initiated by or on behalf of Local may be monitored or recorded for quality assurance, training, dispute resolution, or internal compliance purposes. By engaging with Local through these channels, you acknowledge and consent to such communications and recordings, where permitted by applicable law.

You may opt out of promotional communications at any time by following the unsubscribe instructions included in the communication or by contacting us through the channels listed in the Contact Information section below. Opting out of promotional communications does not affect transactional or service-related communications.

20. Dispute Resolution

If you have a dispute with Local arising from your use of the Platform, we encourage you to contact us first to attempt to resolve the matter informally through our support channels.

If the dispute cannot be resolved informally, it shall be submitted to the competent courts in the jurisdiction in which the relevant Local affiliate is incorporated, unless otherwise required by applicable law.

Nothing in this section limits your right to file a complaint with the relevant consumer protection authority in your jurisdiction.

21. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

22. Waiver

No failure or delay by Local in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any provision of these Terms shall only be effective if made in writing and signed by Local.

23. Entire Agreement

These Terms, together with our Privacy Policy and Refund and Cancellation Policy, constitute the entire agreement between you and Local regarding your use of the Platform and supersede all prior agreements, communications, and understandings relating to the subject matter hereof.

24. Modifications

Local reserves the right to modify or update these Terms at any time. If we make material changes, we will post the revised Terms on the Platform and update the "Last Updated" date. Your continued use of the Platform after any changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the amended Terms, you must stop using the Platform.

25. Assignment

Local may assign or transfer its rights and obligations under these Terms to any affiliate or successor entity without your prior consent. You may not assign or transfer your rights or obligations under these Terms without Local's prior written consent.
